General Terms and Conditions (GTC)

1. Scope of Application

These General Terms and Conditions apply to all contracts between
PNProtect GmbH, Am Patentbusch 18, 26125 Oldenburg, Germany,
(hereinafter referred to as the "Provider")
and its customers regarding the rental and sale of cooling products and accessories via the website or other distribution channels.

Any deviating terms and conditions of the customer shall not be recognized unless expressly agreed to by the Provider.

2. Offers and Conclusion of Contract

(1) The presentation of products on the website does not constitute a legally binding offer but rather a non-binding invitation to place an order.
(2) A contract is concluded as soon as the Provider confirms the customer's order in writing or in text form, ships the goods, or provides the rental item.

3. Services (Sale and Rental)

(1) The Provider sells and rents cooling products (e.g., cooling units, cooling systems, and accessories).
(2) In the case of rental agreements, the goods remain the property of the Provider.
(3) The exact scope of services is determined by the respective product description and the individual contract.

4. Rental Terms

(1) Rental items must be handled with due care and used only for their intended purpose.
(2) The renter is liable for any damage resulting from improper use.
(3) Subletting or transferring the rental item to third parties is permitted only with the Provider's prior consent.
(4) The rental period begins and ends in accordance with the individual agreement.

5. Prices and Payment

(1) All prices are stated in Euros and are subject to the applicable statutory VAT unless otherwise specified.
(2) Rental and purchase prices are based on the current price list or the individual quotation.
(3) Payment may be made by: credit card (Visa, Mastercard, Maestro, American Express), Apple Pay, Google Pay, Amazon Pay, PayPal, and Klarna.
(4) Unless otherwise agreed, payments are due immediately.

6. Delivery and Provision

(1) Delivery or provision dates are binding only if they have been expressly confirmed in writing.
(2) For rental agreements, handover shall take place as agreed (collection or delivery).
(3) Shipping and transportation costs will be charged separately.

7. Retention of Title

In the case of purchase agreements, the goods remain the property of the Provider until full payment has been received.

8. Warranty and Liability

(1) The statutory warranty rights shall apply.
(2) The Provider shall be liable for damages only in cases of intent or gross negligence.
(3) In cases of ordinary negligence, the Provider shall only be liable for breaches of essential contractual obligations (cardinal obligations), limited to the foreseeable damage typical of the contract.
(4) Liability for indirect damages or loss of profit is excluded to the extent permitted by law.

9. Return of Rental Items

(1) Rental items must be returned no later than the agreed return date.
(2) Additional rental charges may apply in the event of late return.
(3) Damaged or missing parts will be invoiced to the renter.

10. Right of Withdrawal (Consumers)

Consumers are generally entitled to the statutory right of withdrawal.
Exceptions may apply to: individually manufactured products.

11. Data Protection

The separate Privacy Policy available on the website shall apply.

12. Final Provisions

(1) The laws of the Federal Republic of Germany shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
(2) Should any provision of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.
(3) To the extent permitted by law, the place of jurisdiction shall be the Provider's registered office.
